1. Acceptance of Terms
By accessing or using the Apicem Design LLC website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
Apicem Design LLC offers graphic design, copywriting, and consultation services, including but not limited to logo design, branding, web design, UX design digital ad design, print design, and conversion rate optimization.
3. Client Obligations
Payment: Clients are responsible for timely payment of all fees and expenses as outlined in the Project Services Agreement.
Content: Clients are responsible for providing accurate and complete information and content for design projects.
4. Intellectual Property
All intellectual property rights, including copyrights, trademarks, and trade secrets, in the designs and artwork created by Apicem Design LLC shall belong to Apicem Design LLC until all work is paid for according to the agreed upon terms, after which time Apicem Design LLC and contractors who completed the work retain rights to use this content for inclusion on the Apicem Website, in case studies, and in portfolios demonstrating the work of Apicem Design LLC and/or its contractors.
5. Limitation of Liability
Apicem Design LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the website or services.
6. Indemnification
You agree to indemnify and hold harmless Apicem Design LLC, its affiliates, officers, directors, employees, contractors, agents, licensors, and suppliers from and against all claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of your use of the website or services, your violation of these Terms of Service, or your violation of any rights of another.
7. Termination
Apicem Design LLC may terminate your access to the website or services, in whole or in part, at any time and without notice.
8. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
9. Changes to Terms of Service
Apicem Design LLC reserves the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting on the website. Your continued use of the website or services after such changes constitutes your acceptance of the new Terms of Service.
